Job Summary

Purpose & General Characteristics

The Mergers & Acquisitions Manager is responsible for identifying, evaluating, and executing merger and acquisition opportunities that align with the company's strategic goals..The position is reporting directly to the Vice President of  M&A (team of 3 direct reports)

Representative Activities

  • Manage all aspects of an M&A process, from opportunity identification to the completion of the transaction (for acquisitions,divestitures and JVs). The M&A Manager would lead the negotiation phases, supported by the VP M&A.

  • Lead in-depth analysis of each project’s strategic rationale to ensure that the transaction is in line with the group strategy and the business areas, notably by identifying (i) synergies and value creation levers and (ii) potential risks and corresponding mitigants 

  • Continuous and sustained interactions with the different stakeholders (sales and strategic teams, legal, finance, tax) for the management and coordination of the entire due diligence processes. The M&A Manager is an active player of problem-solving processes during the acquisition and related integration

  • Analyze possible impacts on the organization in terms of financial, organization, human aspects, KPIs, communication ; identify synergies, carve-out elements and translate them into business plans

  • Lead negotiations and review the legal agreements (e.g.SPA, TSA) at different process stages (in support of the M&A legal department and our lawyers)

  • Great exposure to Imerys top management and/or top stakeholders with regular presentations and recommendations

  • Select, coordinate and manage cooperation with external advisors

Requirements

  • You are a Business or Engineering School Graduate with minimum 5 years of experience, eager to put your strong analytical and numerical skills to the test

  • You have previous professional experience in M&A (M&A boutique or Corporate M&A), transaction services or other corporate finance position with an actual deal knowledge having managed and successfully closed a transaction from A to Z.

  • You are fluent in both written and spoken English and you are at ease in an international environment. A relevant international experience would be a plus.

  • Experience and knowledge of the industrial sector

  • You are always eager to learn, and your ambition drives you to be a self-starter seeking a degree of autonomy in your work. You are known to be a doer, driven by efficiency and authenticity

  • With very good communication skills, a woman/man of dialogue and easy contact, able to connect with founders and owners and adapt to different levels and cultures

  • A true team player, able to monitor many projects at the same time, while relaying information in a synthetic way

  • Very hands-on, while staying focused on the goal and on the vision

  • You have an excellent sense of attention to detail, enjoy managing many priorities at once, and naturally organize your workload to get the job done
